Terms of Service

Last Updated: October 9, 2026

CRITICAL HVAC SAFETY NOTICE HVAC equipment may involve high voltage, combustible gas, pressurized refrigerants, moving components, high temperatures, and other hazards capable of causing serious injury, death, or property damage. ACLogics is a decision-support and reference tool, not a substitute for training, appropriate credentials, manufacturer instructions, on-site testing, or professional judgment. You must independently verify all information before performing work.

These Terms of Service govern your access to ACLogics websites, mobile applications, AI-assisted HVAC diagnostic tools, equipment-information resources, subscriptions, and organization workspaces.

1. Agreement, Parties, and Scope

These Terms of Service (the “Terms”) are an agreement between you and ACLogics (“ACLogics,” “we,” “us,” or “our”), the operator of the ACLogics website, mobile applications, and related services (together, the “Service”). The Service includes public reference pages and, where available, authenticated diagnostic, reporting, payment, and Team features.

By creating an account, selecting “I agree” or another affirmative acceptance control, subscribing, or using the Service after receiving appropriate notice, you agree to these Terms and acknowledge our Privacy Policy. If you use the Service for an organization, you represent that you have authority to do so; where you accept on its behalf, “you” also refers to that organization. If you do not agree, do not use the Service.

Plan descriptions, purchase screens, and any written order or separately executed enterprise agreement may include additional commercial terms. In a direct conflict concerning purchased features, fees, or negotiated enterprise provisions, the applicable purchase terms or signed agreement control for that subject. Third-party app store terms also apply to purchases processed by the relevant store.

We may maintain electronic evidence of acceptance, including the Terms version, acceptance timestamp, account identifier, and acceptance event. Your electronic acceptance has the same intended effect as a written signature to the extent permitted by applicable law.

2. Eligibility and Account Responsibilities

You must be at least 18 years old and legally capable of entering into this agreement. AI diagnosis features are intended for trained HVAC professionals who can understand and independently evaluate technical procedures and workplace hazards.

You are responsible for accurate registration details, maintaining the security of your sign-in credentials, controlling access to your account, and promptly reporting suspected unauthorized access through our contact page. Do not share login credentials in violation of your plan or an organization’s access rules. You are responsible for activities carried out through your account to the extent permitted by law.

You must have authority to submit information relating to customers, properties, equipment, employees, and third parties. Do not upload content unlawfully or in violation of confidentiality, privacy, or intellectual property rights.

3. Description of the Service

ACLogics may provide guided AI diagnosis, step-by-step troubleshooting, follow-up question and response workflows, equipment nameplate analysis, HVAC error-code lookup, manufacturer reference links, offline reference resources, job records, and generated reports, estimates, and invoices. Features vary by plan, device, region, application version, and network availability.

Some functionality requires an internet connection, qualified account status, a subscription, or remaining AI-use tokens. Offline content may be incomplete or outdated and may not reflect information uploaded from other devices until synchronization occurs.

The Service is not an emergency-response service, a manufacturer-authorized repair service, a licensed professional, an insurer, or a substitute for legally required inspection, permitting, certification, or supervision. We do not guarantee that a suggested diagnosis will identify the actual cause of a problem, prevent callbacks, achieve particular savings, or lead to a successful repair.

4. Professional Credentials and Manual Verification

4.1 Credential requirements

To access AI diagnosis, ACLogics requires submission of a qualifying professional credential: for U.S. users, an EPA Section 608 technician certification; for users in Canada, an applicable ODP/ODS or equivalent credential. Canadian titles and requirements differ by province or territory. Our access requirement is an ACLogics platform rule and does not imply that the same credential is legally required for every HVAC task or that holding it authorizes all types of work.

4.2 Employee review; no third-party OCR

Credential images and details are reviewed manually by authorized ACLogics personnel. We do not submit credential images to third-party OCR or AI-based credential verification services, and we do not use credential information or images for AI model training, marketing, or advertising. Credential records are handled for verification and related account-security or compliance functions only, consistent with our Privacy Policy. Secure infrastructure providers may process or store encrypted data on our behalf solely to support the Service; they do not receive independent rights to use credential content.

4.3 Accuracy and access decisions

You represent that each credential is genuine, current where required, belongs to the person presenting it, and is submitted with authorization. Submission may be marked pending while a team member reviews it. We may request a clearer image, additional evidence, or a replacement credential, and may restrict, deny, suspend, or revoke diagnosis access when credentials are absent, rejected, unverifiable, expired, or reasonably suspected of being false. A submitted or accepted credential is not a governmental license determination or a guarantee of its authenticity.

4.4 Individual credential privacy

Professional credentials identify an individual. They are not automatically transferred into an employer’s ownership merely because the person uses a Team account. An organization may be informed of an authorized member’s verification or eligibility status as needed to administer access, but ownership of organization job records does not give it unrestricted rights to copies of an individual’s identification or certification files.

5. AI Limitations, Safe Use, and Professional Judgment

AI outputs, error-code explanations, suggested next checks, and generated documents can be incorrect, incomplete, inconsistent, outdated, or inapplicable to a specific make, model, control board, region, or installation. The same displayed code or LED pattern can mean different things on different equipment. ACLogics may generate plausible but mistaken statements (“hallucinations”).

You remain responsible for all field decisions and work. Before acting, you must independently verify equipment identity, manufacturer service documentation, actual measurements, diagnostic conditions, electrical ratings, applicable codes, and safety procedures. You must use proper personal protective equipment and follow applicable lockout/tagout, electrical, gas, refrigerant, pressure, and other industry safety practices. Do not bypass protective devices or perform procedures beyond your training, authorization, or applicable legal qualifications.

Do not use the Service while driving, operating machinery, or otherwise unable to give a hazardous task your full attention. Do not rely on ACLogics as the sole basis for deciding whether equipment is safe to energize, release to a customer, or return to service. Stop the task and obtain qualified assistance if conditions are unsafe, a recommendation conflicts with a manufacturer procedure, or a result cannot be verified.

ACLogics does not supervise the work site, independently inspect equipment, measure operating conditions, or assume the duties of the employer, supervising technician, or contractor. These Terms do not disclaim responsibility that cannot legally be excluded.

6. Personal Accounts, Team Accounts, and Data Ownership

6.1 Separate account contexts

ACLogics may allow a person to use both a Personal Account and one or more organization workspaces (“Team Accounts”). The active workspace determines where a diagnosis, job, note, measurement, report, estimate, invoice, or other record is created and stored. Paying for a Team subscription does not, by itself, transfer information created in a separate Personal Account to an organization.

6.2 Personal Account information

As between ACLogics and the individual user, the individual retains rights to User Content created or submitted in the Personal Account, subject to any independently applicable rights of customers or other third parties. Team administrators do not gain access to a person’s separate Personal Account data merely because that person joins their organization.

6.3 Organization information

As between ACLogics, the organization, and its authorized members, the organization owns or controls the rights it may lawfully hold in User Content and work records created or submitted within its Team Account, including diagnostic pathways, technician selections, service notes, job details, equipment records, and generated reports, estimates, and invoices. ACLogics stores and processes such records on the organization’s behalf to provide the Service. Members acknowledge that authorized organization administrators and other permitted members may access, manage, export, or retain these records according to organization settings and applicable law.

When a technician leaves a Team Account or loses access, records created in that organization workspace remain with the organization, and the technician’s Team access may end immediately. The technician’s separate Personal Account and its records are not transferred. Organization data is not automatically moved into a personal workspace when membership ends.

6.4 Administrators and member responsibilities

Organization administrators are responsible for inviting and removing members, assigning permissions, managing the subscription, maintaining authorized seats, and providing appropriate employee and customer notices. Organizations are responsible for obtaining necessary permission to process customer information and for determining lawful internal access, retention, and use of their records. Actual administrator capabilities are limited to features and permissions made available in the Service.

6.5 Independent personal purchases

Personal Pro subscriptions and organization Team subscriptions are separate billing arrangements. An organization’s payment does not automatically cancel a member’s Personal Pro subscription, merge token balances, or grant organization access to a member’s personal work.

7. User Content, Diagnostic Choices, and Service Records

“User Content” includes material you submit or create in the Service, such as photos, nameplate and equipment details, symptoms, measurements, work-order information, customer details, notes, questions, and user selections. “Diagnostic Records” include the steps presented to a user, choices and outcomes recorded during a diagnosis (including pass/fail responses), follow-up questions and responses, workflow progress, summaries, report history, and related records.

We retain Diagnostic Records, including the course of your diagnosis and the choices you make, so the Service can resume workflows, preserve job history, create or revise documents, support troubleshooting, investigate errors, and maintain account or Team continuity. Diagnostic Records are separate from uploaded raw image files and may remain after those images are deleted. Visible history and search windows may vary by plan; a 30-day or 90-day history feature does not necessarily mean all underlying non-image diagnostic records are deleted on that date.

After account deletion. When you delete your account, we anonymize your Diagnostic Records by removing or de-identifying the personal identifiers linked to them, and we may keep them in anonymized form. Records created in a Team Account remain with the organization as described in Section 6.3. Raw images and credential records follow Sections 8.1 and 8.2.

By submitting User Content, you grant ACLogics a nonexclusive, worldwide, limited license, for as long as reasonably necessary, to host, copy, transmit, process, organize, display to authorized users, and create service outputs from that material to operate, secure, troubleshoot, support, and improve the Service, including improving our AI models as described below, in a manner consistent with these Terms and the Privacy Policy. This license does not transfer ownership of User Content and does not authorize sale of your personal information.

Improving our AI. As described in our Privacy Policy, we may use User Content (such as images, descriptions, and questions) to train, fine-tune, and improve our AI models and diagnostics. When possible, this training data is anonymized or pseudonymized. This does not include credential information described in Section 4, which we use only to verify your certification and never for AI training. We may also analyze service performance and use aggregated or de-identified usage statistics for product improvement and security, as allowed by law.

You must not submit images containing minors, payment card details, passwords, government identifiers unrelated to credential verification, medical information, or other unnecessary sensitive personal content. Equipment images should be framed to avoid customer faces and private living spaces. You are responsible for the accuracy and lawful collection of information you submit.

8. Privacy, Image Retention, and Security

8.1 Diagnostic and equipment images

When you use a cloud-based nameplate or equipment-image feature, ordinary equipment images may be transmitted securely to cloud processing services and external AI vision providers to extract equipment details or generate the requested analysis. This ordinary equipment-image workflow is separate from the employee-only credential review described in Section 4. We do not sell uploaded images for advertising.

Raw equipment, nameplate, and diagnostic images are retained for up to ninety (90) days after upload and then scheduled for automatic deletion, unless deleted earlier using an available in-app control or a supported deletion request. Deleting an account may not immediately delete raw image files already subject to this 90-day expiration schedule; you can contact us to request earlier removal where available. Derived structured equipment data, saved Diagnostic Records, and generated documents may have different retention periods and may remain after deletion of the original image.

8.2 Credential records

Credential photographs and verification records are maintained separately from the 90-day raw equipment-image rule. They are retained as reasonably necessary to administer credential verification, protect accounts, and satisfy applicable legal requirements, and are reviewed manually as described in Section 4. We do not use third-party OCR or AI model training for certificates.

8.3 Other information, account deletion, and security

We also process authentication details, usage and token records, application events, support messages, security logs, and subscription status as reasonably needed to provide and protect the Service. For details about categories, service providers, retention, and your available access, correction, export, or deletion rights, consult our Privacy Policy.

Requests to delete or export Team Account records may require authorization from the organization controlling that data. Individual privacy rights, including applicable rights regarding personal identity and credential records, remain subject to law. We use reasonable technical and organizational security measures, but no system can guarantee absolute security.

9. Intellectual Property and Generated Documents

ACLogics and its licensors retain their respective rights in the Service, software, interface, original instructional content, proprietary code indexing and categorization, original explanatory materials, technology, and protectable compilation, organization, and database elements. Manufacturer names, trademarks, original manuals, and third-party materials remain the property of their respective rights holders.

Subject to compliance with these Terms, ACLogics grants you a limited, nonexclusive, nontransferable right to access and use the Service and its reference content for legitimate personal or internal HVAC service operations during your permitted access period. This does not grant ownership of ACLogics technology or any right to reproduce substantial portions of its database to build or populate another service.

Reports, estimates, invoices, and other customer-facing documents: You or, for Team-created content, the organization may retain, download, modify, print, share, and commercially use lawfully generated documents for your HVAC work, including after the applicable subscription ends. To the extent any ACLogics-owned protectable element is necessarily embedded in an authorized generated document, ACLogics grants a perpetual, worldwide, royalty-free, nonexclusive license to use that element as part of the document for those purposes. This authorization does not permit bulk extraction or republication of ACLogics proprietary reference content, and does not confer ownership of another party’s intellectual property.

Copyright and other ownership rights in AI-assisted outputs are determined by applicable law and the actual contributions of the parties; these Terms do not assert copyright in material that is not legally protectable. You remain responsible for reviewing all generated documents before delivery, including figures, part descriptions, labor charges, taxes, warranties, and customer-facing claims. ACLogics is not a party to any repair contract or payment obligation between you and your customer.

If you voluntarily send ideas or product suggestions, we may use them to improve the Service without compensation, provided this does not transfer your confidential customer data or rights beyond what the law and any separate written agreement allow.

10. Plans, Billing, Tokens, and Cancellation

10.1 Plans and purchase terms

The Service may offer Free, Pro, Team, and individually negotiated plans. Current fees, billing intervals, permitted features, included usage allowances, seat entitlements, and any trial duration are disclosed at purchase or in the applicable written order. The information shown in your applicable purchase confirmation or negotiated agreement governs your subscription. Prices and taxes may vary by region or platform.

10.2 Automatic renewal and payment

Paid recurring subscriptions renew automatically for their stated billing period unless canceled before the next renewal in accordance with the applicable billing provider’s procedures. By subscribing, you authorize the relevant billing provider to charge the subscription fee and applicable taxes on the recurring schedule presented at checkout. Individual iOS and Android subscriptions are purchased and administered through Apple App Store or Google Play, respectively. Organization subscriptions are managed through the applicable ACLogics Team billing portal or other specified provider.

10.3 Personal Pro tokens and rollover

Personal Pro currently includes a monthly allocation of diagnostic tokens as displayed at checkout (currently 500,000 tokens per month). Unused monthly Pro tokens roll over from month to month without an age-based expiration date while the Pro subscription remains continuously active. Token balances are metered usage allowances for eligible AI features, not money, cryptocurrency, or stored-value funds. They are not transferable, redeemable for cash, or refundable independently of a legally required refund.

If a Pro subscription is canceled, its paid access normally continues through the end of the current paid billing period. When that paid period ends and the Pro subscription becomes inactive, all remaining Pro subscription tokens—including accumulated rollover tokens—expire and are forfeited. Merely selecting “Cancel” does not cause immediate expiration while the current paid Pro period remains active. A later resubscription begins under the plan then offered and does not restore expired Pro subscription tokens.

10.4 Permanent tokens and add-on purchases

Tokens expressly granted or sold as permanent (including an eligible Free-plan one-time allowance and separately purchased permanent refill packs) do not expire solely because a Pro subscription ends. Permanent tokens are accounted for separately from expiring Pro subscription allowances; usage from an active recurring allowance is generally deducted before the permanent reserve. A permanent token balance remains subject to account security, lawful use, fraud prevention, and any applicable purchase or refund reversal, and does not guarantee perpetual availability of every AI feature or the Service itself.

10.5 Team usage and subscriptions

Team fees, member limits, AI usage entitlements, applicable fair-use restrictions, and trial periods are governed by the specific Team plan disclosed to the purchasing organization. If a Team offering is described as “unlimited,” ordinary legitimate use is subject to reasonable security and anti-abuse protections; any fixed numerical cap must be clearly disclosed in the relevant purchase terms rather than assumed from this agreement. Team administrators manage seats, billing, and cancellation in the Team portal. Team usage allowances do not become personal token balances and do not transfer to a former member’s Personal Account.

10.6 Cancellation, billing date, and refunds

Personal Pro subscribers may cancel through the Apple or Google subscription settings used for purchase; deleting an ACLogics account or uninstalling the app does not automatically cancel an app-store subscription. Unless the purchase terms or applicable law require otherwise, cancellation stops the next renewal and paid features remain available until the current paid subscription expires on the applicable next billing date. Team cancellations work the same way: cancelling stops the next renewal, and the organization’s Team access continues until the end of the current paid billing period. Team administrators cancel through the billing controls presented to the organization. Charges for a completed billing period are generally nonrefundable except where required by law, expressly promised in an applicable offer, or determined by the relevant billing provider’s refund policy. Requests concerning Apple- or Google-processed purchases may need to be made to the respective store.

10.7 Usage accounting and plan changes

AI features consume tokens according to the measurements and rules displayed in the app. ACLogics may impose reasonable rate limits and security controls to protect availability and prevent abuse. If a charge or deduction appears incorrect, contact support with your account details and the affected transaction. Plan upgrades, downgrades, and promotional terms take effect as stated at the time of change; material changes to subscription terms will be communicated as required by applicable law.

11. Manufacturer Information and Third-Party Resources

ACLogics may publish equipment model identifiers, error-code references, LED flash patterns, excerpts or summaries of technical specifications, and links to manufacturer websites or documents. An error code, symptom, or indicator may have multiple meanings depending on equipment category, model, controller, revision, display location, and operating conditions. You must verify applicability against the correct manufacturer documentation and the equipment at the job site.

Information may be incomplete or superseded. Unless expressly stated otherwise, ACLogics is an independent service and is not sponsored, endorsed, certified, or affiliated with the HVAC manufacturers whose names or products may appear. Manufacturer names and marks are used for identification and reference. All third-party materials remain subject to their owners’ rights and applicable usage restrictions.

External links and services are provided for convenience. We do not control the accuracy, availability, privacy practices, or terms of third-party sites. You must independently evaluate third-party sources and follow any applicable licenses or terms.

12. Prohibited Conduct and Database Protection

You may use publicly accessible reference content to support individual, legitimate troubleshooting tasks and may preserve an ordinary amount of information reasonably needed for a specific job. Without our prior written authorization, you may not:

  • Systematically scrape, crawl, harvest, enumerate, download, or collect substantial portions of the Service, including through bots, automated search requests, account rotation, or attempts to evade access limits;
  • Reproduce, republish, redistribute, resell, or package substantial portions of ACLogics’ original reference content, annotations, explanations, or protectable database selection and arrangement, or use them to create, train, or enrich a competing commercial database or product;
  • Reverse engineer, decompile, disassemble, defeat security controls, or attempt to obtain nonpublic software source code, models, or confidential platform internals, except to the extent such restriction is prohibited by applicable law;
  • Access other users’ accounts or Team data without authorization, misrepresent professional credentials, impersonate others, or submit fraudulent billing or certification information;
  • Use the Service to violate laws, privacy rights, intellectual property rights, confidentiality duties, or professional and workplace safety obligations;
  • Overload, disrupt, probe, or attack the Service or its infrastructure, including through excessive or malicious API requests; or
  • Remove proprietary notices, bypass metering or subscription controls, or use credentials or tokens in a manner inconsistent with the subscribed plan.

These restrictions apply only to the extent permitted by law and do not prohibit independent use of noncopyrightable facts, activities protected by applicable exceptions, lawful security research authorized by us, or uses expressly permitted by a third-party license. We may investigate apparent violations and use proportionate technical or account-level safeguards.

13. Service Availability, Suspension, and Termination

We may update, modify, or discontinue features and may temporarily interrupt access for maintenance, security, provider outages, or operational reasons. We will use reasonable efforts to provide notice of material reductions to paid functionality when practicable and required by law.

We may limit or suspend access for suspected security incidents, fraud, unauthorized scraping, invalid or misleading credentials, serious safety risks, material breaches, or nonpayment, using measures appropriate to the circumstances and applicable law. Where feasible, we may give notice and an opportunity to resolve a correctable issue. We may terminate access for serious or repeated violations.

You may stop using the Service or request account closure at any time, subject to separate subscription cancellation procedures and lawful retention duties. Following subscription expiration, some premium features, extended history, or online functions may become unavailable. Subject to available product controls, organization rights, and applicable law, you should export any documents you need before closing an account or losing access.

Termination does not transfer ownership of Team records to a departing individual; the organization retains them under Section 6. Rights to lawfully downloaded customer-facing documents under Section 9 survive. Payment obligations already accrued, intellectual-property protections, lawful record-retention provisions, disclaimers, liability rules, and dispute terms survive to the extent necessary to give them effect.

14. Disclaimers of Warranties

To the maximum extent permitted by applicable law, the Service and all AI outputs, technical reference information, suggestions, and related materials are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, noninfringement, or uninterrupted availability.

ACLogics does not warrant that an output will identify a malfunction, comply with every code or manufacturer requirement, be suitable for a particular model, produce a safe repair, avoid a callback, or be free of mistakes. You must independently verify technical information and retain professional responsibility for on-site actions.

Some jurisdictions do not permit certain warranty exclusions. Nothing here limits warranties or legal rights that cannot lawfully be excluded.

15. Limitation of Liability and Indemnification

15.1 Excluded damages

To the fullest extent permitted by law, ACLogics and its officers, employees, affiliates, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or loss of profits, anticipated savings, business, or data, arising from the Service or these Terms, even if advised that such damages were possible.

15.2 Liability cap

To the fullest extent permitted by law, ACLogics’ aggregate liability arising out of or relating to the Service or these Terms, under any theory of liability, will not exceed the greater of (a) US $100 and (b) the total amounts paid to ACLogics for the Service during the 12 months immediately preceding the event giving rise to the claim.

These limitations do not apply where prohibited by law, including liability that cannot legally be limited for fraud, willful misconduct, gross negligence, death, personal injury, or other legally nonexcludable responsibility, to the extent such exceptions apply.

15.3 Your indemnification obligations

To the extent permitted by law, you agree to defend and indemnify ACLogics against third-party claims, losses, and reasonable expenses (including reasonable legal fees) to the extent arising from your unlawful conduct, infringement of third-party rights, unauthorized or fraudulent submissions, or material breach of these Terms. An organization is responsible for relevant conduct of users acting on its behalf as permitted by law. This obligation does not require you to indemnify ACLogics for liability caused by its own negligence, misconduct, or legal violations to the extent prohibited by law. We will provide reasonable notice and cooperation for covered claims, and no settlement may impose nonmonetary obligations on the indemnified party without its consent.

16. Dispute Resolution, Arbitration, and Class-Action Waiver

Please read this section carefully. For covered U.S. disputes it requires individual arbitration instead of a court proceeding, subject to the exceptions and opt-out right below.

16.1 Informal resolution first

Before filing an arbitration demand, you and ACLogics agree to make a good-faith attempt to resolve the dispute informally for at least 30 days after one party gives the other written notice describing the issue and requested resolution. Send notices to [email protected] with the subject “Legal Notice.” We may respond using the email associated with your account. A party may seek urgent relief necessary to protect rights while this process is pending.

16.2 Covered U.S. arbitration

Except for excluded claims and valid opt-outs, disputes between you and ACLogics arising from these Terms, the Service, or your relationship with us will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable Consumer Arbitration Rules for individual consumers or Commercial Arbitration Rules for organizations, as appropriate, and subject to the Federal Arbitration Act where applicable. The arbitrator may award remedies available under applicable law and must apply these Terms subject to mandatory legal protections.

Unless applicable AAA rules, law, or the parties’ agreement require otherwise, hearings may be conducted remotely or on written submissions where appropriate, so individual consumers are not required to travel to Texas solely to participate. Filing fees and arbitration costs are allocated under applicable AAA rules and mandatory law. Information about AAA rules is available at adr.org. If the AAA cannot administer an otherwise valid arbitration agreement, the parties will seek a legally available substitute administrator or an appropriate court determination.

16.3 Exceptions and non-U.S. mandatory rights

Either party may bring an eligible claim in small-claims court, and either may seek judicial relief regarding unlawful access to systems or infringement or misuse of intellectual property where legally appropriate. Nothing prevents a user from communicating with regulators or exercising rights that applicable law prohibits parties from waiving. For Canadian and other non-U.S. users, arbitration and forum requirements apply only to the extent legally enforceable; mandatory provincial, territorial, and national consumer rights take precedence.

16.4 Individual proceedings and class waiver

For disputes lawfully subject to this arbitration agreement, you and ACLogics agree to bring claims only in an individual capacity and not as a plaintiff or member of a class, collective, consolidated, or representative proceeding, to the extent permitted by law. An arbitrator may not consolidate different individuals’ claims or preside over a class proceeding without the agreement of all affected parties, except where mandatory law requires otherwise.

If the class-action waiver is held unenforceable with respect to a particular claim or requested relief, that portion will proceed in a court of competent jurisdiction rather than in class arbitration, to the extent required by applicable law. All other enforceable parts of this section remain in effect.

16.5 Thirty-day arbitration opt-out

You may opt out of this arbitration agreement by emailing [email protected] within 30 days after you first accept a version of these Terms containing an arbitration requirement. Use the subject “Arbitration Opt-Out” and provide your full name, account email, and an unambiguous statement that you wish to opt out. An opt-out does not affect your ability to use the Service or other provisions of these Terms. If you timely opt out, the arbitration agreement and associated arbitration-only class waiver do not apply to you; otherwise valid forum and governing-law provisions still apply subject to mandatory law.

16.6 Governing law and courts

Except where mandatory consumer law requires a different result, these Terms are governed by Texas law, without applying conflicting choice-of-law principles, and applicable U.S. federal law. For claims that may properly proceed in court, the parties consent to courts of competent jurisdiction in Dallas County, Texas, unless applicable law permits or requires another venue.

17. Changes to These Terms

We may revise these Terms as the Service evolves. We will update the “Last Updated” date and, where required by applicable law, provide reasonable advance notice of material changes through the Service, email, or another appropriate channel. Changes will not retroactively eliminate accrued rights where prohibited by law. Any change to Section 16 (Dispute Resolution) does not apply to a dispute that arose before the change took effect. Where affirmative acceptance is required, we will request it. If you do not agree to an applicable new version, you must discontinue the affected Service and manage any existing subscription using its cancellation process.

18. General Provisions

Entire agreement. These Terms, together with the applicable Privacy Policy, purchase terms, and signed enterprise agreements where applicable, constitute the governing arrangement for the Service. A separately signed enterprise agreement controls any direct conflict within its scope.

Severability. Except for the special rule regarding the class waiver in Section 16, if any term is invalid or unenforceable, the remainder continues in effect to the maximum lawful extent.

No waiver. Failure to enforce a provision does not waive future enforcement of that provision.

Assignment. You may not assign your rights or obligations under these Terms without our written permission, except as allowed by law. We may assign these Terms in connection with a merger, reorganization, or transfer of the Service, subject to applicable privacy obligations and legal requirements.

Force majeure. Neither party is responsible for performance delays caused by events outside its reasonable control, except for payment obligations already due, and only to the extent permitted by law.

Notices. We may give ordinary account and contractual notices through the Service or the account email on file, except where law requires another method. Contact information for notices to us appears in Section 19.

Language. This English version governs to the extent permitted by applicable law. Where mandatory law requires another language or interpretation, that law controls.
